Terms of Service

By accessing or using SeaChange Local ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

You must be 18 years or older and capable of forming a binding contract to use SeaChange Local. By creating an account, you represent that this is true.

You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at legal@seachangelocal.com if you suspect unauthorized use.

Stores using SeaChange Local agree to:

• Provide accurate inventory data
• Maintain current integration credentials
• Not misrepresent product availability to consumers

SeaChange Local syncs inventory in good faith from connected POS systems. We are not liable for inaccuracies arising from POS data errors or sync delays.

You own your data. The product catalog, pricing, inventory levels, suppliers, and stock history you create in SeaChange Local belong to you, not us. We act only as a custodian to operate the Service.

• Export anytime. Download a complete copy of your store's data as a structured file at any time from your account settings — no request or waiting period.
• Delete anytime. Permanently delete your store and all associated data from your account settings. Deletion is immediate and irreversible.
• Isolation. Your store's data is isolated at the account level. No other store, brand, or third party can access it.
• No sale, no sharing. We never sell your inventory or pricing data, and never share it with other stores or brands without your explicit, opt-in consent. Any aggregate insights we may offer in future will use only anonymized, non-identifying data.

Shoppers use SeaChange Local to discover product availability at local stores. Inventory data is provided in good faith and may not reflect real-time conditions in all cases. SeaChange Local does not guarantee product availability at the time of visit.

You may not:

• Use SeaChange Local to scrape, harvest, or collect data for commercial use
• Attempt to reverse engineer or compromise the platform
• Use the Service to transmit spam or fraudulent content
• Impersonate another user or business

All content, trademarks, and technology in the Service are owned by SeaChange Local or its licensors. You may not reproduce, distribute, or create derivative works without written permission.

We reserve the right to suspend or terminate accounts that violate these Terms, at our discretion and with or without notice.

The Service is provided "as is." SeaChange Local makes no warranties, express or implied, regarding availability, accuracy, or fitness for a particular purpose.

Informational alerts only — not a food-safety or compliance system. Expiry-date tracking, low-stock alerts, and related notifications are provided for your convenience as informational reminders. They are not a food-safety, regulatory, or recall-compliance system, and they do not replace your own inventory inspection and date checks. You remain solely responsible for verifying product dates and condition in store before serving or selling, and for compliance with all applicable food-safety and health regulations. SeaChange Local is not liable for a missed, delayed, inaccurate, or undelivered alert, including any arising from POS data errors, sync delays, or a date you did not enter or keep current.

SeaChange Local will not be liable for indirect, incidental, or consequential damages arising from use of the Service. Our total liability will not exceed the amount you paid us in the prior 12 months (if any).

We may update these Terms from time to time. We'll notify active accounts by email before material changes take effect.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction — except where applicable law gives you the right to bring a claim elsewhere. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.
